Costs
Cover these items: design and development budget; labor costs; materials; options; consulting; etc. (a consultant or books on this subject will expand these items for you).

Proprietary Issues
This is an expansive area and covers patents, trademarks, copyrights, etc., that either you own or you are looking for "access to".
